Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Egret platform and services (the "Service") provided by Egret ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Service, you confirm that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Egret is a multi-domain RAG (Retrieval-Augmented Generation) advisory platform for regulated industries. The Service provides AI-powered responses drawn from curated regulatory document corpora, with source citations. The Service includes:
- Access to domain-specific advisory modules (e.g., Business Continuity, Biotech Compliance)
- Query-based interaction with AI models via streaming chat
- Session history and conversation management
- REST API access (on eligible plans)
- Organization and team collaboration features
- Custom document upload and private knowledge bases
3. Account Registration
You must create an account to use the Service. You agree to provide accurate and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at security@getegret.com if you suspect unauthorized access.
4. Subscriptions and Billing
Plans and Pricing
The Service is offered through subscription plans with varying feature sets and credit allocations. Current pricing is available at /pricing. We reserve the right to modify pricing with 30 days' advance notice.
Credits
Each plan includes a monthly credit allocation. Credits are consumed per query based on model tier and response complexity. Unused credits do not roll over between billing periods. When credits are exhausted, you will not be able to submit new queries until credits reset or you upgrade your plan.
Payment
Subscription fees are billed monthly in advance through Stripe. By subscribing, you authorize us to charge your payment method on each billing date. All fees are non-refundable except where required by applicable law.
Cancellation
You may cancel your subscription at any time from your billing dashboard. Upon cancellation, you retain access to your current plan until the end of the billing period. After that, your account will be downgraded. Your data will be retained for 30 days after downgrade.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Attempt to reverse-engineer, decompile, or extract source code from the Service
- Circumvent any usage limits, credit allocations, or access controls
- Use automated tools to scrape, crawl, or extract data from the Service beyond API access
- Transmit malware, spam, or any harmful content through the Service
- Impersonate any person or entity, or falsely represent your affiliation
- Share your account credentials or API keys with unauthorized parties
- Use the Service in a way that degrades performance for other users
6. Intellectual Property
Our Rights
The Service, including its design, code, algorithms, and curated document corpora, is owned by Egret and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.
Your Content
You retain ownership of any content you upload or submit to the Service, including queries, custom documents, and organization data. You grant us a limited license to process this content as necessary to provide the Service.
Response Content
AI-generated responses are provided for informational purposes. You may use response content in your work, but we do not claim ownership of generated responses. Cited sources remain the intellectual property of their respective publishers.
7. Data and Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your data.
Zero Training Exposure
We do not use your queries, uploaded documents, or any user content to train or fine-tune AI models. Your data is used solely to provide the Service to you.
8. Disclaimers
Advisory Nature
The Service provides AI-powered advisory information, not legal, regulatory, or professional advice. Responses are generated from curated document corpora and should be verified by qualified professionals before being relied upon for compliance decisions. We do not guarantee the accuracy, completeness, or currency of any response.
Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EGRET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Egret from any claims, damages, losses, and expenses (including attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
11. API Terms
If your plan includes API access, the following additional terms apply:
- API keys are confidential and must not be shared publicly or embedded in client-side code
- Rate limits apply based on your plan tier
- We may throttle or suspend API access if usage patterns indicate abuse
- API responses are subject to the same disclaimers as web-based responses
12. Organizations
If you create or join an organization on the Service, the organization administrator manages member access and permissions. Organization data (including shared documents and knowledge bases) is accessible to members based on their roles. Removing a member revokes their access to organization resources.
13. Termination
We may suspend or terminate your access to the Service if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users or the Service. Upon termination, your right to use the Service ceases immediately. Sections 6, 8, 9, 10, and 14 survive termination.
14. General Provisions
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Dispute Resolution
Any disputes arising from these Terms or the Service shall first be subject to good faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Modifications
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Egret regarding the Service.
